1 Services Description

Business Outcome Solutions provides data platform integration, business intelligence, and analytics services for small to mid-sized businesses. Our services include:

• Connecting and consolidating data from multiple business systems (including QuickBooks Online and other platforms)
• Building custom dashboards and reports to support business decision-making
• Providing ongoing data platform support, maintenance, and optimization
• Delivering actionable insights to drive measurable revenue outcomes

The specific scope of services is defined in each client’s individual service agreement with BOS.

2 Client Responsibilities

To enable BOS to deliver services effectively, clients are responsible for:

• Providing accurate credentials and authorized access to the systems specified in the service agreement
• Maintaining valid licenses for all third-party software, including QuickBooks Online and Microsoft Power BI
• Reviewing and approving deliverables in a timely manner as outlined in the project schedule
• Promptly notifying BOS of any changes to system access, credentials, or organizational structure
• Ensuring all data shared with BOS is accurate and legally authorized for use in the agreed services

3 Authorization to Access Systems

By engaging BOS services, clients explicitly authorize BOS to:

• Connect to specified business systems via API using OAuth 2.0 or other authorized authentication methods
• Retrieve and process data as necessary to deliver the agreed services
• Store data securely in BOS-managed infrastructure (Microsoft Azure, US regions)

4 Fees and Payment

Fees for BOS services are defined in the individual service agreement or statement of work. Unless otherwise agreed:

• Invoices are due within 30 days of issuance
• BOS reserves the right to suspend services for accounts more than 30 days past due
• All fees are in US dollars

BOS’s risk-free proof-of-concept model, where offered, is governed by the specific terms outlined at engagement initiation.

5 Intellectual Property

• Client data remains the sole property of the client at all times
• Deliverables — dashboards, reports, and custom development created for clients — are delivered as work-for-hire and become client property upon full payment
• BOS retains all rights to reusable frameworks, templates, methodologies, and underlying technology used to build deliverables

6 Confidentiality

BOS treats all client business data, financial information, and proprietary business information as strictly confidential. We will not disclose client information to any third party except as necessary to deliver contracted services, or as required by law. This obligation survives the termination of the service relationship.

7 Limitation of Liability

BOS delivers services with professional care and diligence. However, BOS is not liable for:

• Data accuracy issues originating from source systems outside BOS’s control
• Service interruptions caused by third-party providers (including QuickBooks, Azure, or other platforms)
• Indirect, incidental, or consequential damages arising from use of our services
• Any losses exceeding the total fees paid by the client for services in the preceding 90 days

Services are provided in good faith based on data and access made available by the client.

8 Termination

Either party may terminate the service relationship with 30 days written notice. BOS may terminate immediately if a client materially breaches these Terms or fails to make payment after reasonable notice. Upon termination, BOS will deliver all client-owned work product and securely delete client data per our data retention policy.

9 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Kansas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Kansas.

10 Changes to These Terms

BOS may update these Terms periodically. Material changes will be communicated to active clients in writing at least 14 days before taking effect. Continued engagement with BOS services after that date constitutes acceptance of the updated Terms.
